SUMMARY

  • Dutch payments company Mollie is set to acquire UK fintech GoCardless in a €1.05 billion deal, with both firms describing the merger as creating a “payments powerhouse”, confirming earlier summer rumors.

GoCardless, employing around 800 people, is a payments platform that allows businesses to collect one-off and recurring payments, such as subscriptions and membership fees, via direct debit instead of credit cards or bank transfers.

The fintech has also expanded into open banking and is led by Hiroki Takeuchi, a prominent figure in the UK fintech scene.

Mollie, with over 900 employees, is a European-focused payments fintech serving SMEs and processing tens of billions of euros annually. It competes with PayPal, Stripe, Adyen, and traditional banks like JP Morgan.

The FT reported the deal consists of 90% stock and a small cash component. A GoCardless spokesperson said it’s too early to determine whether there will be job cuts.

The merger will create a company serving over 350,000 businesses, offering a combined solution integrating card and bank payments.

Koen Köppen, CEO of Mollie, said: "GoCardless built the definitive solution to optimise this process with its global bank payment network. By bringing them into Mollie, we take a huge step towards fulfilling our vision and creating one complete platform for sustainable growth."

Takeuchi, co-founder and CEO, GoCardless, said: "This deal brings together two highly complementary businesses that have built best-in-class products across Europe and beyond.

"By combining our expertise in card, bank and hyperlocal payments into one provider, we can better serve our customers, accelerate growth and raise the bar for the industry. It’s a win for European fintech and we’re confident that the new company will be greater than the sum of its parts.”

GoCardless, a profitable fintech, was valued at $2 billion in 2022 and is backed by Balderton Capital, Accel, Permira, and BlackRock.

Mollie, backed by Blackstone, was valued at approximately $6.5 billion in 2021.
