[Funding alert] HelloFresh SE Launches up to €150 Million buy-back in Shares and Certain Convertible Bonds

HelloFresh SE launches up to €150 million buy-back in shares and certain convertible bonds. The authorization given by the company's annual general shareholders' meeting on May 12, 2022, acts as the basis for the share repurchase. Early in 2022, the company conducted a buyback.
Banks will be utilized for any repurchases. The share repurchases are scheduled to follow a specific program designed to buy more shares at lower prices, fewer shares at higher prices, and no shares above a particular price point; in no event, however, will more than 15 million shares be repurchased.

Convertible bond repurchases are only supposed to occur seldom and in tiny quantities, contingent upon price fluctuations and are limited to a maximum of 500 convertible bonds with a nominal value of EUR 50 million. The Company might not be able to use all EUR 150 million as a result.

The buyback of shares seeks to either reduce the firm's share capital by canceling the repurchased shares or use them to fulfill obligations related to the employee equity incentive programs of the company. Any convertible bonds that are repurchased would be cancelled in order to further improve the capital structure of the business.
